TERMS OF SERVICE

1. ACCEPTANCE OF TERMS

By accessing effectcontrol.com, registering an account, or using any of our tools or services, you confirm that you have read, understood, and agreed to these Terms of Service and our Privacy Policy.

If you do not agree with any part of these Terms, you must immediately stop using Effect Control and delete your account.

2. ELIGIBILITY & AGE REQUIREMENTS

You must be at least 18 years of age to create an account and purchase a subscription. If you are between 13 and 17 years of age, you may use the free tier only with the explicit consent of a parent or legal guardian, who accepts these Terms on your behalf.

By registering, you represent and warrant that you meet these eligibility requirements. Effect Control reserves the right to terminate any account found to be held by a person under 13 years of age.

3. ACCOUNT REGISTRATION

• You must provide a valid email address to register an account.
• You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account.
• You must notify us immediately at hello@effectcontrol.com if you suspect unauthorised access to your account.
• Each person may maintain only one account. Creating multiple accounts to circumvent subscription limits is a violation of these Terms and may result in immediate termination of all accounts.
• Accounts are non-transferable and may not be sold, shared, or sublicensed.

4. LICENSE TO USE

Subject to your compliance with these Terms and payment of applicable fees, Nexaura Studios grants you a limited, non-exclusive, non-transferable, revocable license to access and use Effect Control's tools and services for your personal or commercial creative projects.

This license does not permit you to:

• Resell, sublicense, or provide access to the tools to any third party as a standalone service.
• Copy, reverse-engineer, decompile, or attempt to extract the source code of any tool.
• Remove or alter any proprietary notices or branding.
• Use automated scripts, bots, or scrapers to access the platform.

5. PROHIBITED USES

You agree not to use Effect Control to:

• Create or distribute content that infringes on any third party's intellectual property rights.
• Generate, distribute, or facilitate illegal, harmful, abusive, hateful, or defamatory content.
• Circumvent security measures, authentication systems, or access controls.
• Attempt to gain unauthorised access to other users' accounts or data.
• Use the platform in any way that violates applicable laws or regulations in your country of residence.
• Introduce malware, viruses, or other malicious code into the platform.
• Use the service to process or distribute content that violates laws in India, the EU, UK, or the United States.

6. SUBSCRIPTIONS & BILLING

Effect Control offers a free tier and paid subscription plans. The following terms apply to paid subscriptions:

• Billing Cycle: Subscriptions are billed on a monthly or annual basis as selected at checkout, in Indian Rupees (INR). International users may see the INR equivalent in their local currency.
• Auto-Renewal: Subscriptions automatically renew at the end of each billing period. By subscribing, you explicitly consent to recurring charges as required under RBI's mandate guidelines for auto-debits. You will receive a reminder email 7 days before annual renewals.
• Price Changes: We will provide at least 30 days' advance notice (via email) of any price changes before they take effect on your subscription.
• Failed Payments: If your payment fails, we will retry up to three times over 7 days. If payment cannot be collected, your account will be downgraded to the free tier.
• Cancellation: You may cancel your subscription at any time. Your Pro access will remain active until the end of the current paid billing period. No partial-month or partial-year refunds are issued upon cancellation (see our Refund Policy).
• Taxes: Prices include applicable GST for Indian users. International users are responsible for any local taxes or import duties.

7. INTELLECTUAL PROPERTY

Effect Control's IP: All software, tools, interfaces, branding, logos, designs, copy, and documentation on effectcontrol.com are the exclusive intellectual property of Nexaura Studios and are protected by Indian copyright law, the Copyright Act 1957, and applicable international treaties. No part of the platform may be reproduced or distributed without express written permission.

Your Content: You retain all rights to the creative assets (images, videos, graphics) you process through our browser-based tools. Since our tools process your files locally in your browser without uploading to our servers, we make no claim to any output you generate.

Feedback: Any feedback, suggestions, or ideas you share with us may be used by Effect Control without any obligation of compensation or attribution to you.

8. USER CONTENT & PRIVACY

Our tools are designed with local (client-side) processing. Images, videos, and other creative files you work with in our tools are processed entirely in your browser and are not uploaded to or stored on our servers.

Your use of the platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. ACCOUNT TERMINATION

By You: You may delete your account at any time by contacting hello@effectcontrol.com. Account deletion is subject to our data retention obligations described in the Privacy Policy.

By Effect Control: We reserve the right to suspend or permanently terminate your account without prior notice if you:

• Violate these Terms of Service or our Acceptable Use Policy.
• Engage in fraudulent, abusive, or illegal activity.
• Attempt to circumvent payment or subscription mechanisms.
• Create multiple accounts to exploit free tier limits.
• Fail to make payment after the grace period.

Upon termination for cause, no refunds will be issued. Upon termination by you, the refund policy described at refund.php applies.

10. DISCLAIMER OF WARRANTIES

EFFECT CONTROL IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• The platform will be available at all times or free from errors or interruptions.
• Any particular tool will produce specific output quality or results.
• The platform will be compatible with all browsers, devices, or operating systems.

Planned maintenance periods will be communicated in advance where possible.

11. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Nexaura Studios shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use Effect Control, including but not limited to loss of data, revenue, or profits.

Our total aggregate liability to you for any claims arising from or related to these Terms or your use of Effect Control shall not exceed the amount you paid to Effect Control in the 12 months immediately preceding the claim.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Nexaura Studios, its directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from:

• Your violation of these Terms.
• Your use of Effect Control in an unlawful manner.
• Any content you create or distribute using the platform that infringes a third party's rights.

13. GOVERNING LAW & DISPUTE RESOLUTION

Governing Law: These Terms are governed by the laws of the Republic of India, without regard to conflict of law principles. The courts of India shall have exclusive jurisdiction over any disputes arising from these Terms.

Dispute Resolution: In the event of any dispute, both parties agree to first attempt to resolve the matter amicably through good-faith negotiation within 30 days. If negotiation fails, disputes shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996 (India), with the arbitration seat in India.

Consumer Disputes (India): Nothing in this clause prevents you from filing a consumer complaint with the appropriate Consumer Disputes Redressal Forum under the Consumer Protection Act, 2019.

14. EU & UK USER RIGHTS

If you are a consumer located in the European Union or United Kingdom, you benefit from mandatory consumer protection rights that apply in your jurisdiction. Nothing in these Terms limits those rights.

• EU consumers have a 14-day withdrawal/cooling-off right for digital services purchased online, unless the service has been fully delivered with your explicit prior consent. Access to digital content (Pro tools) begins immediately upon payment with your consent, which waives the cooling-off right.
• UK consumers have equivalent rights under the Consumer Rights Act 2015 and the Consumer Contracts Regulations 2013.
• The EU Online Dispute Resolution platform is available at ec.europa.eu/consumers/odr.

15. CHANGES TO THESE TERMS

We may update these Terms from time to time. Material changes will be communicated via email to your registered address at least 15 days before they take effect. Continued use of Effect Control after the effective date constitutes acceptance of the revised Terms.

If you do not agree with the updated Terms, you may cancel your subscription and delete your account before the effective date.
